1. AGREEMENT ACCEPTANCE AND MODIFICATIONS

1.1 Legal Agreement

These Terms and Conditions ("Agreement") constitute a legally binding contract between you ("Patient," "User," or "you") and Vanguard Men's Health, a physician-owned telemedicine practice operating in Texas ("Company," "we," "us," or "our," represented by Vanguard Mens Health).

1.2 Services Covered

This Agreement governs:

• Your use of our website

• Telemedicine consultations and clinical services

• Prescription and medication management

• Patient portal access

• All communications with our clinical and administrative staff

1.3 Acceptance

By accessing our website, scheduling an appointment, or using our services, you affirmatively agree to be bound by all terms, conditions, and policies contained herein, as well as our Privacy Policy.

If you do not accept these terms, you must immediately cease using our services and website.

1.4 Modifications

We reserve the right to modify these Terms at any time. Modified terms become effective immediately upon posting to our website. Continued use of our services constitutes acceptance of modified terms. We recommend reviewing this Agreement periodically for changes.

2. ELIGIBILITY AND PATIENT REQUIREMENTS

2.1 Age and Legal Capacity

You represent and warrant that:

• You are at least 18 years of age

• You have full legal capacity to enter into this Agreement

• You are not under guardianship or legal incapacity

• You are not prohibited by law from receiving the services we provide

2.2 Medical Eligibility

Telemedicine services are available to patients who:

• Reside in the United States (Texas residency preferred but not required for all services)

• Are able to participate in virtual consultations

• Provide complete and accurate medical history

• Have stable internet connectivity and compatible technology

• Are able to receive and understand medical advice

• Do not have medical conditions requiring in-person emergency evaluation

2.3 Ineligibility

We may decline to provide services if:

• You are under 18 years of age

• You are not located in the United States or a state where we are licensed/authorized

• You require emergency medical care

• Your condition requires in-person physical examination

• You have a medical condition we are not equipped to treat

• You have previously violated these Terms

• You are dishonest or abusive to our staff

3. TELEMEDICINE CONSULTATIONS AND SERVICES

3.1 Service Description

Vanguard Men's Health provides physician-led telemedicine consultations for:

• Testosterone replacement therapy (TRT) evaluation and management

• Hormone optimization and balance

• HCG (Human Chorionic Gonadotropin) therapy

• Peptide therapies

• Sexual health optimization and erectile dysfunction treatment

• Men's health and wellness consultations

All services are provided by licensed practitioners licensed in state of Texas.

3.2 Consultation Process

Standard Process:

1. You schedule initial consultation through our website or by phone

2. You complete comprehensive health questionnaire prior to appointment

3. You participate in virtual video consultation with our practitioners.

4. Dr. Sani reviews your history, symptoms, and goals

5. Laboratory work may be ordered (at local facility convenient to you)

6. Upon lab review, the practitioner creates personalized treatment plan

7. Medications/treatments are prescribed if appropriate

8. Ongoing monitoring and support provided

3.3 Initial Consultation Fee

Initial consultation fee is $99.00 (USD). This covers:

• Physician consultation (up to 30 minutes)

• Review of medical history and symptoms

• Discussion of treatment options

• Lab order placement (if appropriate)

Payment is non-refundable if you fail to attend scheduled appointment without 24-hour notice.

3.4 Follow-Up Consultations

Ongoing treatment includes:

• Regular follow-up consultations (typically monthly or as medically necessary)

• Adjustment of treatment protocols based on response

• Laboratory monitoring

• Medication refill consultations

• Unlimited messaging support through patient portal

Follow-up consultation frequency and cost depend on your individual treatment plan and will be discussed during your initial consultation.

3.5 Treatment Recommendations

The practitioner will only recommend treatments that:

• Are medically appropriate for your specific condition

• Have been evaluated based on your medical history and lab results

• Are supported by clinical evidence

• Align with your stated health goals

• You have consented to after full discussion of benefits, risks, and alternatives

4. MEDICAL CONSULTATION LIMITATIONS

4.1 Telemedicine Is Not Emergency Care

IMPORTANT: Telemedicine consultations are not appropriate for emergency medical conditions.

If you experience:

• Severe chest pain

• Difficulty breathing

• Signs of stroke (facial drooping, arm weakness, speech difficulty)

• Severe allergic reactions

• Uncontrolled bleeding

• Loss of consciousness or severe confusion

• Severe acute pain

• Any other life-threatening emergency

YOU MUST CALL 911 OR GO TO THE NEAREST EMERGENCY ROOM IMMEDIATELY.

Vanguard Men's Health cannot provide emergency care and does not replace emergency medical services.

4.2 Limitations of Telemedicine

You understand that telemedicine consultations have inherent limitations:

• We cannot perform physical examinations beyond what patient can self-report

• Diagnosis accuracy depends on honest and complete medical history

• Some conditions may require in-person evaluation

• Technical issues may affect consultation quality

• We may recommend in-person evaluation with another provider if appropriate

4.3 Lab Work and Testing

• Laboratory work must be obtained at facilities in your local area

• We will provide lab orders; you arrange testing through listed facilities

• Lab costs are your responsibility and may or may not be covered by insurance

• Results are reviewed by practitioner who will contact you with findings

• Some tests may not be available in all locations

4.4 Medication Limitations

We prescribe only medications that:

• Are legal to prescribe via telemedicine in your state

• Are appropriate for treatment of the condition being addressed

• Have been evaluated as safe based on your medical history

• You have reviewed and understand potential side effects

We do NOT prescribe:

• Controlled substances for non-medical purposes

• Medications not medically appropriate for your condition

• Medications interactions with other medications you're taking

• Medications that place you at unacceptable medical risk

5. YOUR RESPONSIBILITIES AS A PATIENT

5.1 Medical Honesty and Accuracy

You agree to:

• Provide complete and accurate medical history

• Disclose all current medications, supplements, and substances

• Report all relevant medical conditions and allergies

• Inform us of any changes in health status

• Honestly report symptoms and treatment response

Failure to provide accurate information may result in:

• Inappropriate or unsafe treatment recommendations

• Serious health complications

• Termination of services

• Release of information to appropriate authorities if illegal activity is involved

5.2 Following Medical Advice

You are responsible for:

• Reading and understanding all medication instructions

• Following prescribed treatment protocols as directed

• Reporting side effects or treatment concerns

• Attending follow-up consultations as recommended

• Obtaining recommended lab work and testing

• Maintaining healthy lifestyle practices (nutrition, exercise, sleep)

Non-compliance may result in:

• Reduced treatment effectiveness

• Health complications

• Termination of care relationship

• Requirement to find alternative provider

5.3 Communication and Contact Information

You agree to:

• Keep your contact information current and accurate

• Check patient portal regularly for messages and updates

• Respond to appointment reminders and clinical communications promptly

• Notify us of changes to phone number, email, or address

• Inform us if you change providers or seek care elsewhere for related conditions

5.4 Technical Preparation

For video consultations, you agree to:

• Test your technology 10 minutes before appointment

• Ensure stable internet connection

• Use device with camera, microphone, and speaker

• Arrange for private, confidential location for consultation

• Avoid distractions and side conversations during appointment

• Provide clear audio and video to the best of your ability

5.5 Confidentiality

You agree to:

• Keep all treatment information confidential

• Not share medication details or prescriptions with others

• Not use services obtained through our practice for illegal purposes

• Not attempt to resell medications or treatments

• Report any unauthorized access to your account

6. FEES, PAYMENTS, AND BILLING

6.1 Consultation and Treatment Fees

Pricing:

• Initial consultation: $99.00

• Monthly treatment plans: $397-$597+ depending on protocol

• Lab ordering and review: typically included in consultation fees

Actual costs vary based on:

• Complexity of your case

• Type of treatment prescribed

• Frequency of monitoring required

• Additional testing or assessments needed

6.2 Medication and Shipping Costs

Medication costs are separate from consultation fees and include:

• Medication cost (varies by treatment protocol)

• Pharmacy preparation and quality assurance

• Shipping and delivery

• Cold chain maintenance (if applicable)

Specific medication costs will be discussed before prescription is filled.

6.3 Payment Terms

• Consultation fees are due at time of service

• Medication and treatment costs are due before shipment

• We accept credit cards, debit cards, and bank transfers

• Payment plans may be available for ongoing treatment (discuss with billing)

6.4 Insurance

• We verify insurance coverage for appropriate services

• Some consultations and lab work may be covered; treatment is typically self-pay

• You are responsible for verifying your insurance coverage

• We can provide itemized receipts for insurance submission, though coverage is not guaranteed

6.5 Non-Payment and Collections

If payment is not received:

• We will attempt to collect via phone, email, and mail

• Services may be suspended until payment is received

• Account may be referred to collections agency

• You will be responsible for collections costs and attorney fees

• Credit reporting agencies may be notified

6.6 Refund Policy

• Consultation fees are non-refundable if you fail to attend appointment without 24-hour cancellation notice

• Refunds for legitimate cancellations (with 24+ hour notice) may be issued within 30 days

• Medication costs are non-refundable once shipped (exceptions for defective product)

6.7 Billing Disputes

To dispute a charge:

1. Contact our billing department within 30 days of charge

2. Provide invoice number and explanation of dispute

3. We will investigate and respond within 15 business days

4. If unresolved, contact your credit card company to dispute charge

7. PRESCRIPTION AND MEDICATION MANAGEMENT

7.1 Prescription Authority

Our medical providers are fully licensed to prescribe medications in Texas and for telemedicine patients in states where Texas-licensed physicians can legally prescribe.

7.2 Prescription Delivery

• Prescriptions are sent electronically to licensed pharmacies

• Medications are shipped directly to your residence or address of choice

• Shipping typically takes 1-3 business days

• You are responsible for receiving shipment

• We are not responsible for lost or stolen packages after delivery to your address

7.3 Medication Instructions

You are responsible for:

• Reading all medication packaging and instructions carefully

• Understanding proper administration methods

• Following dosage instructions exactly as prescribed

• Storing medications according to storage requirements

• Checking expiration dates before use

7.4 Side Effects and Adverse Reactions

If you experience side effects or adverse reactions:

• Stop taking medication if directed by packaging warnings

• Immediately contact our office

• Seek emergency care for severe reactions

• Provide detailed description of symptoms

• Do not adjust dose without physician guidance

7.5 Medication Interactions and Monitoring

You agree to:

• Inform us of ALL medications you take (prescription and over-the-counter)

• Report any new medications added by other providers

• Allow us to check for dangerous drug interactions

• Obtain recommended laboratory monitoring

• Report any unusual symptoms or changes in health

7.6 Controlled Substances Policy

Important Disclosure: If any treatments we provide are controlled substances:

• You agree to use them only as prescribed

• You agree not to share, sell, or distribute these medications

• You agree to comply with all state and federal laws regarding controlled substances

• Violation may result in termination of services and reporting to authorities

8. PATIENT PORTAL AND TECHNOLOGY

8.1 Patient Portal Access

• You will be provided login credentials for secure patient portal

• Portal contains your medical records, lab results, and messages

• Portal requires secure password protection

• You are responsible for maintaining confidentiality of login credentials

8.2 Password and Account Security

You agree to:

• Create a strong, unique password

• Not share your login information with others

• Change password if you believe it's been compromised

• Log out after each session when using shared devices

• Notify us immediately of unauthorized access

8.3 Technology Requirements

For optimal service:

• Use modern, updated internet browser

• Maintain current operating system and security updates

• Use reliable internet connection (minimum 2 Mbps for video)

• Use compatible device (computer, tablet, or smartphone)

8.4 Technical Disruptions

We are not responsible for:

• Your internet connection outages

• Your device failures or technical issues

• Your browser compatibility problems

• Delays due to your technology limitations

If technical issues prevent appointment:

• Reschedule for mutually convenient time

• You may request partial refund of consultation fee at our discretion

8.5 Recording and Transcription

• Video consultations may be recorded for quality assurance and training purposes

• Recordings are stored securely and retained per HIPAA requirements

• You acknowledge that recording may occur; you may request non-recorded consultation

• Recording does not guarantee transcription availability

9. PRIVACY, CONFIDENTIALITY, AND HIPAA

9.1 Privacy Policy Incorporation

Our Privacy Policy (incorporated by reference) governs all collection and use of your personal and health information. You must review and accept the Privacy Policy to use our services.

• All health information is HIPAA protected

• Information is used only for treatment, payment, and operations

• Information is not sold or shared for marketing

• You have rights to access, amend, and request restrictions on use

• We maintain secure encryption and security measures

• We notify you within 60 days if your information is breached

9.2 SMS and Communication Consent

By providing your phone number, you:

You can cancel the SMS service at any time. Simply text "STOP" to the shortcode. Upon sending "STOP" we will confirm your unsubscribe status via SMS. Following this confirmation, you will no longer receive SMS messages from us. To rejoin, sign up as you did initially, and we will resume sending SMS messages to you.

If you experience issues with the messaging program, reply with the keyword HELP for more assistance, or reach out directly to us at [email protected].

Carriers are not liable for delayed or undelivered messages.

As always, message and data rates may apply for messages sent to you from us and to us from you. Message frequency varies. For questions about your text plan or data plan, contact your wireless provider.

9.3 Confidentiality of Health Information

You understand that:

• Your health information is confidential and protected by HIPAA

10. LIMITATION OF LIABILITY AND DISCLAIMERS

10.1 Medical Disclaimer

IMPORTANT: Telemedicine consultations are not a substitute for in-person medical evaluation. While we provide high-quality medical care through our telemedicine platform, this service has inherent limitations.

We do not guarantee:

• Specific health outcomes or results

• Diagnosis accuracy

• Resolution of symptoms

• Achievement of specific health goals

• Compatibility of treatment with your individual needs

Outcomes depend on many factors including your individual physiology, compliance with treatment recommendations, lifestyle factors, and overall health status.

10.2 No Warranty

We provide services "as is" without warranty of any kind, express or implied. We do not warrant that:

• Services will meet your expectations

• Services will be error-free or uninterrupted

• Diagnoses will be 100% accurate

• Treatments will be effective for your condition

10.3 Liability Limitations

To the maximum extent permitted by law, Vanguard Men's Health is not liable for:

• Any direct, indirect, incidental, special, or consequential damages

• Lost profits, lost data, or lost opportunity

• Damage to your reputation

• Any damages resulting from your use of our services

• Any damages from reliance on medical advice provided

• Any damages from medication side effects or adverse reactions

• Any damages from technical issues or service interruptions

Your sole remedy is discontinuation of services and refund of unused fees.

10.4 Assumption of Risk

By using our services, you assume all risks associated with:

• Telemedicine consultations and their limitations

• Medication use and potential side effects

• Following medical recommendations

• Your health outcomes and conditions

• Reliance on physician recommendations

11. TERMINATION OF SERVICES

11.1 Termination by You

You may discontinue services at any time by:

• Notifying us in writing to our Privacy Officer

• Requesting final records transfer

• Settling any outstanding balances

• Providing current contact information for records delivery

We will provide a final summary of care and medical records within 30 days.

11.2 Termination by Vanguard Men's Health

We may discontinue your care for:

• Non-payment of fees (after 30-day notice)

• Violation of Terms and Conditions

• Dishonest or abusive behavior toward staff

• Non-compliance with treatment recommendations (after discussion)

• Unsafe or illegal use of medications

• Your relocation to area where we cannot legally provide care

• Medical conditions outside our scope of practice

• Loss of medical license (unlikely but legally possible)

Termination Process:

• We will provide written notice (except in cases of emergency)

• We will provide minimum 30-day transition period

• We will transfer medical records to your new provider

• We will ensure continuation of essential medications if needed

11.3 Emergency Termination

We may immediately discontinue care if:

• You threaten or become abusive toward staff

• You attempt to obtain controlled substances fraudulently

• You present imminent danger to yourself or others

• You violate serious legal or ethical standards

Upon emergency termination:

• We will attempt to notify you

• We will provide referrals to alternative providers

• We will transfer records upon request

• You may appeal termination through our grievance process

12. DISPUTE RESOLUTION AND ARBITRATION

12.1 Informal Resolution

Before pursuing legal action, you agree to attempt informal resolution:

1. Contact our Privacy Officer with specific complaint (Section 12 of Privacy Policy)

2. Provide written description of dispute

3. We will respond within 30 business days

4. We will work toward mutually acceptable resolution

12.2 Grievance Process

If informal resolution fails:

1. Submit formal written grievance to Privacy Officer

2. Include all relevant documentation

3. We will investigate thoroughly

4. We will provide written response within 60 days

5. We will propose resolution or next steps

12.3 Binding Arbitration

If the dispute is not resolved through our grievance process, you and Vanguard Men's Health agree to binding arbitration rather than court proceedings.

Arbitration terms:

• Single arbitrator selected through JAMS (Judicial Arbitration and Mediation Services)

• Arbitration conducted in Dallas, Texas (unless you are outside Texas)

• Each party bears own attorney fees unless arbitrator awards them

• Arbitration decision is binding and final

• Limited right to appeal

• Arbitration is confidential

Exceptions to arbitration (may be pursued in court):

• Claims under $10,000 (small claims court)

• Intellectual property disputes

• Injunctive relief for breach of confidentiality

12.4 Class Action Waiver

You agree that any arbitration or court proceeding will be conducted on an individual basis, NOT as a class action. You waive right to participate in class action suits.

13. INTELLECTUAL PROPERTY

13.1 Website Content

All content on our website including:

• Text, graphics, logos, images

• Software and code

• Medical information and educational materials

• Videos and media files

• Patient testimonials and case studies

Are owned by Vanguard Men's Health and protected by copyright law.

13.2 Limited License

We grant you a limited, non-exclusive license to:

• View content for personal, non-commercial use

• Print copies of content for personal reference

• Share appropriate information with healthcare providers involved in your care

You may NOT:

• Reproduce, modify, or distribute content without permission

• Use content for commercial purposes

• Remove copyright notices or proprietary markings

• Use automated tools to harvest or scrape content

• Create derivative works from our materials

13.3 Your Content

Any information you provide to us (medical history, feedback, testimonials) becomes our property and may be used for:

• Treatment purposes

• Quality improvement

• Education and training

• De-identified research

• Testimonials (with your written consent)

14. REPRESENTATIONS AND WARRANTIES

14.1 Your Representations

You represent and warrant that:

• You have read and understood these Terms

• You have authority to accept these Terms

• You will comply with all applicable laws

• Your use of services is lawful

• Your medical history information is truthful and complete

• You own or have authority over any information you provide

14.2 Our Representations

We represent and warrant that:

• Our providers hold active Texas Medical Board license

• We have appropriate liability insurance

• We comply with HIPAA and applicable healthcare regulations

• We will provide services in professional manner consistent with standard of care

• We will maintain patient confidentiality

15. INDEMNIFICATION

You agree to indemnify and hold harmless Vanguard Men's Health, our providers and our staff from any claims, damages, or losses arising from:

• Your violation of these Terms

• Your use of services in unlawful manner

• Your violation of any applicable law

• Your negligence or intentional misconduct

• Third-party claims related to your conduct

• Your misuse of medications or treatments

16. SEVERABILITY

If any provision of these Terms is found to be unenforceable by a court, that provision will be severed and the remaining terms will remain in full force and effect.

17. ENTIRE AGREEMENT

These Terms and Conditions, together with our Privacy Policy, constitute the entire agreement between you and Vanguard Men's Health regarding your use of services. All prior negotiations, understandings, and agreements are superseded by this Agreement.

18. GOVERNING LAW AND JURISDICTION

• These Terms are governed by Texas law

• Any disputes are subject to binding arbitration as outlined in Section 12

• Texas courts will have jurisdiction over arbitration proceedings

• You waive any objections to venue in Texas

20. ACKNOWLEDGMENT OF UNDERSTANDING

By using Vanguard Men's Health services, you acknowledge and agree that:
